Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you or your organization ("Client", "you") and Ovrent, a Sole Proprietorship and Digital Engineering Studio based in Rajasthan, India ("Ovrent", "we", "us", or "our").

By engaging our engineering services, signing a Statement of Work ("SOW"), making a payment, or utilizing our website (ovrent.com), you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Engineering Services & Deliverables

Ovrent designs, architects, and builds bespoke software applications, marketing websites, custom APIs, dashboards, and automated AI systems. The specific deliverables, milestones, technical criteria, and delivery timelines are set forth in mutually agreed digital proposals or SOWs.

3. Invoicing & Payment Terms

All electronic invoices and payments are processed securely via our merchant partner, Stripe Inc., and associated banking rails. Invoices are payable in USD unless otherwise agreed in writing.

  • Upfront Milestone Deposit: Unless otherwise specified in the SOW, engagements require an initial deposit (typically 40%) prior to project scheduling and codebase commencement.
  • Payment Due Dates: Standard invoices are due net-14 calendar days from the date of issue.
  • Payment Security: Ovrent does not collect or store full credit card numbers on its servers. All card transactions are encrypted under PCI-DSS Level 1 certification via Stripe.

4. Intellectual Property & Code Ownership

We believe clients should own what they pay for. Upon receipt of full and final payment for an engagement or milestone:

  • Ovrent transfers and assigns 100% of all customized source code, database schemas, UI design assets, and intellectual property developed exclusively for the Client.
  • The Client receives full administrative credentials and repository ownership.
  • Ovrent retains ownership only over open-source components, third-party libraries, and pre-existing proprietary scaffolding utilized across multiple engagements.

5. 30-Day Launch Warranty

Ovrent warrants that delivered software will substantially conform to agreed technical specifications. For thirty (30) calendar days following production deployment, Ovrent will promptly resolve any software bugs or functional defects arising from our code at no extra charge.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Ovrent, its proprietor, contractors, or affiliates be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or operational downtime.

Ovrent's total aggregate liability arising out of or related to an engagement shall not exceed the total fees actually received by Ovrent from the Client under the applicable Statement of Work giving rise to liability.

7. Governing Law & Jurisdiction

These Terms and any dispute arising under them shall be governed by and construed in accordance with the applicable laws of India, with legal jurisdiction in Rajasthan, India, without regard to conflict of law principles.
